Corporate Governance

The corporate governance principles of Bank GPB International S.A. are designed to lead the Bank towards sustainable growth, to create value for its main stakeholder, as well as to protect the shareholders‘ interests.

The Bank`s corporate governance policies and procedures are defined in a number of documents governing the organization and management of the Bank adopted by the shareholder or the Board of Directors. These documents include:

  • The Articles of Incorporation (Articles), which define the purpose of the business and the general organizational framework;
  • The Organizational Guidelines and Regulations, the purpose of which is to implement and supplement the relevant rules contained in applicable law, regulatory legal provisions as well as the Articles by determining binding rules on the organization of the Bank and by defining the functions, responsibilities and authorities of the bank`s corporate bodies and institutions.
